Acceptance of Terms

By accessing the websites, mobile applications, or digital platforms owned and operated by Antierly Schools and Beyond Private Limited (hereinafter referred to as “the Company,” “ASB,” “We,” “Us,” or “Our”), or by clicking “Sign Up,” “I Accept,” or any similar mechanism, you (the “User,” “Participant,” or “Candidate”) agree to be bound by these Terms of Service (“Agreement”).

This Agreement governs your use of all services provided by the Company’s various business verticals, including but not limited to Uniassure, ASB Academy, Early Foundation, Upverge, Lyrnit, ASB EdTech, and Partnerverse (collectively, the “Services”). If you do not agree to these terms, you are not authorized to use the Services or access any proprietary content.

User Account and Security

To access certain Services, you may be required to create a User Account (“Account”).

• Exclusivity: Your Account is for your personal/exclusive use only. Sharing credentials with third parties is strictly prohibited and constitutes a material breach of this Agreement.
• Responsibility: You are solely responsible for all activities occurring under your Account. You must immediately notify the Company of any unauthorized use or security breach.
• Termination: The Company reserves the right to suspend or terminate Accounts that are used in violation of these terms without prior notice.

Proprietary Content and Materials

All information, academic frameworks, curriculum materials, training resources, recruitment data, software, audio, video, and graphic materials provided through our Services (the “Content”) are the intellectual property of the Company or its licensors.

• Grant of License: The Company grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Content solely for your personal, non-commercial, and educational or professional purposes.
• Restrictions: You shall not reproduce, distribute, broadcast, modify, or create derivative works of the Content, nor shall you use the Content for any commercial purpose without express written authorization from the Company.

Service-Specific Disclaimers

The User acknowledges the following professional disclaimers regarding the Company's diverse Services:

• Academic Outcomes (Uniassure/Academy/Upverge): While the Company provides readiness frameworks and training, we do not guarantee admission to any specific university, the issuance of any visa, or specific academic results.
• Employment Outcomes (Partnerverse): The Company provides recruitment and placement facilitation. We do not guarantee employment, specific salary packages, or the accuracy of job descriptions provided by third-party employers.
• Platform Availability: We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

Usage of Personal Information

Your use of the Services is also governed by our Privacy Policy. By using our Services, you consent to the collection and use of your data as outlined therein. The Company reserves the right to use your testimonials, photographs, or success stories for promotional purposes, subject to obtaining your prior consent where required by law.

Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Antierly Schools and Beyond Private Limited, its directors, employees, or affiliates, be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or opportunities, arising out of or in connection with the use of our Services.

The Company’s total cumulative liability for any claim arising out of this Agreement shall not exceed the total amount of fees actually paid by the User to the Company for the specific Service giving rise to the claim.

Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers from and against any and all claims, damages, liabilities, and legal expenses arising from (i) your unauthorized use of the Services, (ii) your violation of any third-party rights, or (iii) your breach of any provision of this Agreement.

Payment and Refund Policy

• Advance Payment: Access to Services is contingent upon 100% advance payment of the prescribed fees, unless otherwise agreed upon in writing.
• Non-Refundability: All payments made to the Company are non-refundable. Once a Service has been subscribed to or a course enrolled in, the fee stands appropriated.
• Discretionary Refunds: Any refund, if granted, shall be at the sole and absolute discretion of the Company management and shall not constitute a waiver of this policy for future transactions.

Term and Termination

This Agreement remains in effect until your use of the Services concludes or until terminated by the Company. The Company may terminate this Agreement and block your access immediately in the event of:

• Breach of Intellectual Property rights.
• Misrepresentation of personal or professional data.
• Non-payment of fees.
• Conduct that is defamatory, illegal, or harmful to the Company’s reputation.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of India. You agree that the courts located in Mohali (PB), and shall have exclusive jurisdiction over any disputes arising under this Agreement.

Amendments and Assignment

The Company reserves the right to unilaterally amend or modify this Agreement at any time. Updated terms will be posted on our platforms and shall be effective immediately. Your continued use of the Services constitutes acceptance of the modified terms. You may not assign your rights under this Agreement to any third party.

Entire Agreement

This Agreement, along with the Privacy Policy and any specific service-level agreements, constitutes the entire agreement between the User and Antierly Schools and Beyond Private Limited and supersedes all prior communications or proposals.
